Institutional Patronage

The most ambitious form is to create a new institution that will outlive its founder. Suitable for large and long-term capital, requires a team and a legal framework.

Why this matters

What you gain and what changes

  • Only an institution outlives its founder: a personal name is remembered for 2-3 generations, a museum — for centuries.
  • This is the most complex and most significant form: it requires a team, a charter, an endowment, and succession.
  • The Russian tradition knows dozens of such examples — from Moscow State University to the Tretyakov Gallery and the Pushkin State Museum of Fine Arts.
Roadmap

Step-by-step plan

  1. 1

Formulate the mission and legal form

The mission must be clearly defined: «museum of Russian textiles of the 18th-19th centuries», not «art museum». Form: ANO (for museums and schools), Foundation (for grant activities), private institution (for medicine).

    What to check
    • Mission in one phrase
    • Legal form chosen
    • Area of activity defined
    Documents
    • Concept / founder's memorandum
  2. 2

    Assemble a board of trustees

5-9 people: 1-2 from you, the rest — independent experts on the topic. Without a strong board, an institution turns into a personal project and dies with the founder.

    What to check
    • At least 50% independent members
    • Agreements on roles signed
    • Meeting rhythm established
    Documents
    • Regulations on the Board of Trustees
    • Agreements with board members
  3. 3

Prepare the charter and register with the Ministry of Justice

The NCO charter is the main document; making changes to it will require lengthy approvals. Entrust the preparation to lawyers with proven experience in NCO registration.

    What to check
    • Charter approved by the board of trustees
    • Set of documents submitted to the Ministry of Justice
    • Certificate of registration received
    Documents
    • NCO Charter
    • Decision on establishment
    • State duty 4000 ₽
  4. 4

    Create an endowment for sustainability

Without targeted capital, an institution lives from tranche to tranche and depends on your mood. An endowment under Federal Law-275 — 3 million ₽ minimum, preferably 50-100 million ₽ to start.

    What to check
    • Separate targeted capital fund registered
    • Management company with Central Bank license selected
    • Initial capital contributed
    Documents
    • Capital management agreement
    • Investment declaration
  5. 5

    Document a succession plan

What will happen in 30-40 years when you are gone? How is a new chairman elected? To whom does the collection/real estate pass? This is the main condition for the endeavor not to fall apart.

    What to check
    • Succession plan approved
    • Stipulated in the charter
    • Discussed with family and board
    Documents
    • Succession plan
    • Will (if necessary)

Legal basis

  • Federal Law-7 of 12.01.1996
    On Non-Commercial Organizations

Basic law: forms, registration, reporting of all NCOs.

  • Federal Law-275
    Targeted Capital

Without an endowment, a large institution is unstable; Federal Law-275 is the guarantor of its sustainability.

  • Federal Law-54 of 26.05.1996
On the Museum Fund of the Russian Federation

For a private museum, the collection must be included in the Museum Fund — this provides protection against seizure and sale.

  • Federal Law-273 of 29.12.2012
On Education in the Russian Federation

For a private school / university, a Rosobrnadzor license and program accreditation are required.

  • Civil Code of the Russian Federation
    Art. 1116, 1118-1140 — inheritance

The founder's will must be consistent with the institution's charter to avoid legal conflicts.

Beware of scammers

  • Do not trust intermediaries promising to «simplify» licensing.
  • Lawyers for NCO registration — only from the Ministry of Justice register or with a proven reputation.
  • Check contractors (construction, restoration) through the Unified State Register of Legal Entities and SPARK.
